Author Referral Scheme
Terms & Conditions
IT IS AGREED:
Interpretation
The definitions and rules of interpretation in this clause apply in this agreement.
“CLIENT”: shall mean the party requesting or commissioning the work. The party may include (but not be exclusive to) an author or publisher.
“REFERRAL SCHEME”: shall mean the process whereby a Client is referred to Writem for any of Writem’s paid activities.
“WRITEM”: shall mean Writem Limited [Beckside Court, Annie Reed Road, Beverley], the party undertaking the Author Accelerator Programme work.
“REFERREE”: shall mean the person or entity referring a Client to whom a referral fee may be paid.
Introduction
1.1 These terms and conditions govern the Writem Author Referral Scheme (the “Referral Scheme”). By participating in the Referral Scheme, the Referee agrees to comply with and be bound by these terms and conditions.
Eligibility
2.1 The Referral Scheme is open to individuals and entities who refer Clients to Writem.
2.2 Referees must provide accurate and complete information regarding the referred Client.
2.3 Referees must comply with all applicable laws and regulations in connection with the
Referral Scheme.
Referral Process
3.1 To participate in the Referral Scheme, the Referee must submit the referred Client’s details to Writem through the designated referral process.
3.2 The referred Client must not already be a current or past Client of Writem.
3.3 Writem will evaluate the referral and, if accepted, will engage the referred Client in one of its paid activities.
Referral Fee
4.1 The Referee will be entitled to receive a referral fee of 10% of the payment made by the referred Client to Writem.
4.2 The referral fee will be calculated based on the net amount received by Writem from the referred Client, excluding any taxes, discounts, payment fees (e.g., PayPal), or refunds.
4.3 Services where zero margin is earned by Writem, for example, the Client transfers revenue for an advertising budget, will not fall under this payment scheme.
4.4 The referral fee will be paid to the Referee up to three months after the referred Client’s engagement for Writem’s paid activities, provided that the referred Client has not canceled the service and has made full payment.
4.5 Payment of the referral fee will be made via bank transfer or another mutually agreed method.
General Conditions
5.1 Writem reserves the right to modify or terminate the Referral Scheme at any time without notice. Any modifications or termination will not affect referral fees due for referrals made prior to the date of modification or termination.
5.2 Referees are not authorised to act as agents or representatives of Writem and shall not make any representations or warranties on behalf of Writem.
5.3 Referees must not engage in any misleading, fraudulent, or unethical behavior in connection with the Referral Scheme.
Limitation of Liability
6.1 Writem shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Referral Scheme.
6.2 Writem’s total liability to the Referee under or in connection with the Referral Scheme shall not exceed the total referral fees paid or payable to the Referee.
Governing Law and Jurisdiction
7.1 These terms and conditions shall be governed by and construed in accordance with English Law.
7.2 Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Miscellaneous
8.1 If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
8.2 These terms and conditions constitute the entire agreement between the parties regarding the Referral Scheme and supersede all prior agreements and understandings, whether written or oral.
